What to Include in the Virtual Data Room (VDR)

When exiting a PE investment, populating the data room with financial, legal, and organizational documents is standard practice, but buyer confidence often hinges on a completely different folder: Information Technology. When a seller presents a highly structured IT narrative on day one, it actively reduces transaction friction and supports the credibility of growth projections.

An effective Information Technology folder should include five core elements:

IT Overview & Operating Model Document

Provide an overview of the company’s core business systems and what role each plays. Include detail about the structure of the internal IT team and describe relationships with managed service providers. This gives buyers a clear view of the company’s technology environment, internal IT capabilities, and third-party dependencies.

Asset Lists

Provide a centralized inventory of all active software licenses and subscriptions, hardware deployments, and registered domain names. This helps buyers validate the scope, cost, ownership, and completeness of the company’s technology assets.

IT Policies and Procedures

Provide copies of all documented policies and procedures such as service desk operations, cybersecurity, disaster recovery, and any others that will give the buyer confidence. This demonstrates that key IT operations, security practices, and continuity processes are documented and governed.

Architecture Diagrams

If applicable, include network, WAN, data center, and other diagrams. This allows buyers to understand the structure, complexity, and resilience of the company’s core technology infrastructure.

Project Portfolio

A structured roadmap tracking ongoing and future IT initiatives such as replacement of aging business systems, improvement of cybersecurity posture, and strategic technology projects that support business goals. This shows buyers how management is prioritizing technology investments, addressing known risks, and enabling future growth.
