Exit Readiness
Building a Buyer-Ready Technology Roadmap
A clear technology modernization roadmap gives buyers a practical view of completed, current, and planned investments, including their cost, timing, dependencies, and business purpose.

When preparing a portfolio asset for exit, management should expect buyers to look closely at the company’s technology environment and the investments required under new ownership.
Legacy hardware, aging applications, capacity constraints, and unsupported software raise questions about cost, timing, disruption, and future growth.
A clear technology modernization roadmap gives buyers practical answers to those questions.
The roadmap can include projects that will be completed under the next owner. Each initiative should be identified, budgeted, sequenced, and connected to a specific business need.
It should also document significant technology initiatives that have already been completed.
Including completed projects, their timing, and their business outcomes establishes a history of continuous technology improvement that predates the transaction. It provides important context for the future roadmap. Planned investments can then be understood as the next stage of an established modernization program, rather than a list of transaction-related deficiencies whose costs should automatically be deducted from enterprise value.
What should a buyer-ready technology roadmap cover?
Completed Technology Initiatives
What has the company already upgraded, replaced, consolidated, or implemented? When was the work completed, how much was invested, and what operational improvements resulted?
Hardware and Infrastructure Lifecycle
Which servers, network components, end-user devices, and other infrastructure will eventually need to be upgraded or replaced? When should those investments occur? What improvements will they provide in reliability, security, capacity, or performance?
Software and Application Modernization
Which core applications should be retained, upgraded, consolidated, replaced, or moved to the cloud? If an ERP or other business-critical platform requires replacement, how should the project be sequenced alongside post-close growth initiatives?
Data Architecture Readiness
Can the current data environment support better reporting, automation, and future acquisitions? The roadmap should identify any improvements required to integrate add-ons and provide consistent information across the platform.
Capital and Resource Requirements
What budget, internal headcount, and external support will be required? Buyers should be able to understand the likely investment, timing, dependencies, and implementation risks associated with each initiative.
This level of planning gives buyers a practical view of the company’s technology progression, including the investments already made, the initiatives underway, and the improvements planned for the future.
It also demonstrates that management understands the current environment and has maintained a credible, ongoing program of technology investment.
